FEES AND BILLING POLICY
Changes to the Fees and Billing Policy and the fees for 11 Main's services are effective after 11 Main provides you with at least 7 days' notice by posting the changes on the Site. However, 11 Main may choose to temporarily change the Fees and Billing Policy and the fees for 11 Main's services for promotional events (for example, free listing days); such changes are effective when 11 Main posts the temporary promotional event on the Site. In the event 11 Main introduces a new service, the fees for that service are effective at the launch of the service. Unless otherwise stated, all fees are quoted in U.S. dollars (USD).
Joining and setting up a shop on 11 Main is free. 11 Main charges fees for listing an item for sale, as well as a percentage of the sale price when the item sells. By listing an item, you are accepting the fees that you will be charged.
1. LISTING FEES
Each listing on 11 Main costs $0.05 USD per month until the item is sold. Listing fees are added to your monthly 11 Main bill. This listing fee may be waived if users are active subscribers to other seller tools, and may be waived for certain product categories. Listings with a quantity of zero are active, but are not charged a listing fee.
2. TRANSACTION FEES When you make a sale on 11 Main, you will be charged a transaction fee of 3.5% of the Adjusted Order Amount. The "Adjusted Order Amount" is calculated by taking the aggregate price of your items plus shipping and handling. If the shopper used a discount offer funded by 11 Main, the Adjusted Order Amount will be calculated without applying the discount. If you offer your own discount to your shoppers, the Adjusted Order Amount will be calculated after applying the discount. The transaction fee will not exceed $50 USD per order. Transaction fees are added to your monthly 11 Main bill. Transaction fees may be waived for certain product categories and for certain transactions made through our marketplace buyer referral program. Transaction fees are not charged on the sales of physical books, music and videos.
3. ADVERTISING FEES 11 Main may offer advertising opportunities to increase the visibility of your items and shop. Advertising fees vary by opportunity. Advertising fees will be clearly outlined before you commit to purchasing an advertisement and will be added to your monthly 11 Main bill.
4. 11 MAIN PAYMENTS FEES For each transaction, 11 Main charges the merchant 2.9% of the transaction amount (including shipping and taxes) plus $0.30.
3. CURRENCY CONVERSION
All fees on 11 Main are in U.S. dollars. Currency conversion is handled automatically by our payment processing service.
In certain situations, including but not limited to a void or invalid transaction, we may issue a credit for the applicable fees to a seller's billing statement. Upon request, 11 Main will issue a check for any positive balance in your account, subject to a $5 check processing fee.
You will be responsible for paying any and all taxes applicable to your use of the Site and any purchases, or sales of items you make on the Site (excluding any taxes on 11 Main's net income).
If 11 Main terminates a listing or your account, if you close your account, or if the payment of your 11 Main fees cannot be completed for any reason, you remain obligated to pay 11 Main for all unpaid fees plus any penalties, if applicable. If your account is not paid in full and becomes past due, we may suspend privileges, terminate your account, and take other collection actions (including retaining collection agencies and legal counsel). 1. CHARGE DATE
You authorize 11 Main to bill your credit card directly or apply outstanding balances to a billing relationship with an 11 Main affiliate (e.g., Vendio or Auctiva)(a "Billing Affiliate"), and to charge the card on file the outstanding balance for your account each calendar month, upon termination of your account, and at any time the balance of fees reaches the designated fee threshold for your account.
2. CHARGE ERRORS
If your card account on file is closed or the account number is changed, or if, for any reason, a charge is rejected by your card issuer, you must update your card information or supply a new card number, as appropriate, in your 11 Main account. If your charge is refused by the issuer, for any reason, you may be subject to penalties such as the suspension of privileges and/or termination. Your authorization applies to any successor or replacement card you provide.
You authorize 11 Main to hold, receive, and disburse funds on your behalf when such funds from your card transactions settle from the Card Networks. You are not entitled to interest or other compensation in the settlement of the funds. This Section will survive termination as necessary to properly and accurately settle accounts.
1. PAYMENT PROCESSING
We do not offer banking services. We use a third-party payment processor (the "Payment Processor") to bill you through a payment account linked to your Account on the use of the Site (your "Billing Account") for any purchases made through the use of the Site. The processing of payments will be subject to the fees, terms, conditions and privacy policies of the Payment Processor and card association rules in addition to this Agreement. 11 Main is not responsible for error by the Payment Processor. A certain amount of your funds may be subject to an additional hold period based on perceived risk and transaction history. Funds become available for transfer to your checking account 7 business days after items are confirmed as "shipped." Funds are transferred on the first of the following to occur: (i) every Tuesday, or (ii) the next business day after your available balance has ended the day at $100 or more.
2. PAYMENT METHOD
The terms of your payment will be based on your payment method and may be determined by agreements between you and the Billing Affiliate, the financial institution, credit card issuer, or other provider of your chosen payment method. If we, through the Payment Processor, do not receive payment from you, you agree to pay all amounts due on your Billing Account upon demand.
3. CURRENT INFORMATION
You must provide current, complete and accurate information for your billing account. You must promptly update all information to keep your billing account current, complete and accurate (such as a change in billing address, credit card number, or credit card expiration date), and you must promptly notify us or our payment processor if your payment method is canceled (e.g., for loss or theft), or if you become aware of a potential breach of security, such as the unauthorized disclosure or use of your username or password.
4. TITLE AND RISK OF LOSS
All items purchased through 11 Main occur directly between the consumer and merchant. As such, title and risk of loss passes directly from seller to buyer in any transaction. 11 Main and its Payment Processors try to minimize the incidence of marketplace fraud, but the risk of loss from marketplace fraud is borne by the consumer and merchant.
A chargeback is typically caused when a customer disputes a charge that appears on their statement. A chargeback may result in the reversal of a transaction, with the amount charged back to you. You can be assessed chargebacks for: (i) customer disputes, (ii) unauthorized or improperly authorized transactions, (iii) transactions that do not comply with card network rules or the terms of this Agreement or are allegedly unlawful or suspicious, or (iv) any reversals for any reason by our payment processor or the financial institutions handling the transaction.
When a chargeback is issued, you are immediately liable to 11 Main for the full amount of payment of the chargeback plus any associated fees, fines, expenses or penalties (including those assessed by our payment processor or the financial institutions handling the transaction). You agree that 11 Main may recover these amounts by debiting your account or setting off any amounts owed to you by us. If we are unable to recover funds related to a chargeback for which you are liable, you will pay us the full amount of the chargeback immediately upon demand. You agree to pay all costs and expenses, including without limitation, costs assessed by our payment processor, legal fees and other legal expenses, incurred by or on behalf of us in connection with the collection of any unpaid chargebacks unpaid by you.
Further, if we or our payment processor reasonably believes that a chargeback is likely with respect to any transaction, we may withhold the amount of the potential chargeback from payments otherwise due to you until such time that: (a) a chargeback is assessed, in which case we will retain the funds; (b) the period of time under applicable law or regulation by which the customer may dispute the transaction has expired; or (c) we determine that a chargeback on the transaction will not occur.
You, 11 Main, or our payment processor may elect to contest chargebacks. We do not assume any liability for our role or assistance in contesting chargebacks. If the dispute is resolved in your favor, we will refund to you any fees that have been refunded to us by our payment processor.
You agree to provide us with the necessary information, in a timely manner and at your expense, to investigate or help resolve any chargeback. You also grant us permission to share records or other information required with the cardholder, our payment processor and the financial institutions handling the transaction to help resolve any disputes. Your failure to provide us with complete and accurate information in a timely manner may result in an irreversible chargeback being assessed.
At any point, 11 Main, or our payment processor, or the financial institutions may determine that you are incurring excessive chargebacks. Excessive chargebacks may result in additional fees or closure of your shop on 11 Main.

7. INACTIVE ACCOUNTS
An inactive account is an account that has not been accessed by a customer, or by customer service on behalf of a customer for a period of at least 365 days (the "Abandonment Threshold"). Once the Abandonment Threshold for an account has passed, that account is deemed abandoned and any credits in the account will be expired.
8. PAST DUE ACCOUNTS/CREDIT RISKS
For accounts that are in arrears or accounts that 11 Main, in its discretion, believes may represent a credit risk, 11 Main may charge amounts as they come due or sooner than the account would otherwise have been charged based on its billing cycle. If your account is scheduled for renewal, but your credit card on file has expired, you may be requested to update your account. For your convenience, we will also try to process your renewal with your existing credit card. You will be billed a monthly finance charge of the lower of 1.5% or the highest amount permitted by applicable law if your account becomes past due. Your account may be suspended or terminated for non-payment. You will reimburse 11 Main for any costs arising from collections activity.
9. RESTRICTED USE
You will not:
- submit any card transaction for processing that does not arise from your sale of products or services to a buyer customer,
- act as a payment intermediary or aggregator or otherwise resell our services on behalf of any third party,
- send what you believe to be potentially fraudulent authorizations or fraudulent card transaction,
- use 11 Main in a manner that Visa, MasterCard, American Express, Discover, or any other card network or other payment network reasonably believes to be an abuse of such network or a violation of its applicable rules.
If we believe that a security breach or compromise of data has occurred, we may require you to have a third-party auditor that is approved by us conduct a security audit of your systems and facilities and issue a report to be provided to us, our banking partners, and the Card Networks.
